Terms of Service

A one-time license, plain and fair. Here is what you agree to when you use MixDesk.

These Terms of Service ("Terms") are the agreement between you and Gopher Tech, LLC ("Gopher Tech", "we", "us") for the MixDesk application ("MixDesk" or the "Software") and the mixdesk.app website. You accept these Terms when you tick the box at checkout, and when you install or use MixDesk after we have shown them to you. If you do not agree, do not use the Software. Nothing in these Terms takes away the rights you have as a consumer under the laws of your home country. Where those rights conflict with anything here, those rights win.

The license we grant you

When you buy a MixDesk license, we grant you a personal, non-exclusive license to use MixDesk for your own use. It is a one-time purchase: pay $9 once, and the license does not expire and is not a subscription. Your license activates on one Mac at a time. You can move it to another Mac whenever you like by deactivating it on the current Mac and activating it on the new one; MixDesk enforces this one-at-a-time limit. If you sell or give away a Mac, deactivate MixDesk on it first.

Your license key is yours to use, not to publish. Please do not share, resell, sublicense, or post your key, and do not try to defeat the licensing or generate keys.

Free trial, and what is free versus paid

MixDesk has a free 14-day trial with every feature on and no credit card required. After the trial, live audio meters stay free forever. Muting apps and the volume sliders for Spotify and Apple Music need a license. We may change which features are free versus paid in future versions, but we will never remove a paid feature from a license you have already bought.

Updates

MixDesk can check for and install updates automatically. Updates may add, change, or remove features and improve security and compatibility. We are not obligated to keep every feature, or the Software itself, available forever. The one thing we will not do is take away a paid feature you have already licensed.

Acceptable use

Please do not reverse engineer, decompile, or disassemble the Software, except where applicable law expressly allows it (including for interoperability), and do not use MixDesk unlawfully or in a way that infringes others' rights.

Intellectual property

MixDesk, its name, and its materials belong to Gopher Tech, LLC and are protected by law. These Terms give you the license described above and transfer no ownership to you. MixDesk is not affiliated with, endorsed by, or sponsored by Apple Inc.

Your privacy

To activate your license and enforce one-at-a-time use, our server processes a one-way hash of your Mac's hardware id and your IP address. What we collect and why is set out in our Privacy Policy. Your audio is processed on your Mac and never reaches us.

No warranty

The Software is provided "as is" and "as available", without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that it will be uninterrupted, error-free, or compatible with every configuration. If you are a consumer, this does not affect your legal guarantees that the Software is of satisfactory quality, fit for its purpose, and as described; those guarantees apply regardless of this section.

Limitation of liability

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud, or for anything that cannot be excluded under the law that applies to you, including your non-excludable rights as a consumer. Subject to that, and to the maximum extent permitted by law: we are not liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill; and our total liability for any claim relating to the Software will not exceed the amount you paid us for your MixDesk license.

Refunds and cancellation

Because MixDesk has a free 14-day trial, you can try every feature before you buy. Our Refund Policy explains when we give refunds. If you are a consumer in the EU, UK, or EEA, you also have a statutory right to cancel your purchase within 14 days; we honor that right, and the Refund Policy explains how to use it.

Who can use MixDesk

You must be old enough to enter a binding contract where you live (at least 18 in most places) and have the legal capacity to accept these Terms. If you accept on behalf of an organization, you confirm that you are authorized to bind it.

Termination

These Terms apply for as long as you use MixDesk. Your license may end if you seriously break these Terms, for example by sharing, reselling, or publishing your key, or by trying to defeat the licensing. You may stop using MixDesk at any time. The sections on intellectual property, no warranty, limitation of liability, and governing law survive.

Changes to these Terms

We may update these Terms from time to time. When we do, we will change the "Last updated" date above and, for material changes, note them on this page and, where practical, in the app. Changes apply going forward only, and we will never use a change to remove a paid feature from a license you have already bought. If you keep using MixDesk after we have made a change reasonably available, that means you accept it; if you do not, please stop using MixDesk.

Governing law and disputes

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules. If something is wrong, please email [email protected] first so we can try to fix it. If you are a consumer, you keep the protection of the mandatory laws of your home country and may bring a claim in your local courts. We do not require you to arbitrate.

General

If any part of these Terms is held invalid, the rest stays in effect, and the invalid part will be applied as far as the law allows (and a warranty or liability limit will be reformed to the minimum change needed rather than dropped). These Terms, together with the Refund Policy and Privacy Policy, are the entire agreement between us about MixDesk and replace earlier understandings about it; this does not exclude liability for fraud and does not take away your consumer rights. If we do not enforce a term, that is not a waiver of it. These Terms are personal to you and you may not assign them, though you may of course move your license between your own Macs as described above; we may assign these Terms to a successor, for example if our business is sold, which will not reduce your rights. Neither of us is responsible for a failure caused by events beyond reasonable control.
